In the following terms and conditions, the words 'V-Empower', 'we', and 'our', are used to refer to the V-Empower Service.

V-Empower is a telephony service which utilises an internet connection to make and receive telephone calls. Various services are available which include telephone numbers, outbound calling, call plans as well as an array of advanced telephony features. 1. VOIP CALLING
Outbound calls and inbound calls to and from the PSTN network respectively, are limited to 2 (two) concurrent calls unless otherwise specified.
In the case of the user call records for outgoing PSTN calls, V-Empower will allow online retrieval of all call records from the past 90 (ninety) days only.

2. DURATION AND TERMINATION
A minimum contract period is applicable to all V-Empower subscription services. The minimum contract term is the minimum period for which the customer must remain on and is liable for payment of their V-Empower service from the time it is activated. Unless otherwise stated the minimum contract period is 6 (six) months. After the minimum contract period subscribers may terminate their subscription with one month's notice. In the event that the contract is subject to distance selling regulation, where service starts within 7 days of purchase, rights of cancellation will end upon commencement of service.
3. BILLING AND PAYMENTS
The subscription fee will be issued monthly. It is your responsibility to ensure your payment details are accurate and up-to-date to ensure we receive payment on the due date. V-Empower reserves the right to cancel your subscription if payment is not received every month. Initial payment is for one month in advance and is non-refundable. V-Empower may suspend and / or disconnect your Services at its discretion. We will normally inform you before we suspend or terminate your access to the Service. Any credit balance unused for 6 (six) months or more will be deducted from a user's account. Call credit purchased online is non-refundable upon use of service. Incoming numbers which have not been dialled within the last 6 months may be disabled by V-Empower. A £15 reactivation fee will be charged if a number has not been used (i.e. a call not successfully being answered by the endpoint, whether it is a VoIP device or diverted PSTN destination) within a 6 (six) month period. V-Empower has the right to close/block V-Empower accounts that we suspect to be fraudulent and proof of identification maybe requested to verify users. Any accounts which have not been used for 6 months or more maybe suspended by V-Empower. We will normally inform you before we suspend or terminate your access to the Service. An activation fee may be charged to reinstate the account.
4. FAIR USE POLICY
Fair usage policy applies for calling packages with inclusive monthly minutes. For further details, please view the terms of the specific calling package online at www.v-empower.net.
5. SERVICE CANCELLATION
Cancellation of the service will require one month notice from the end of the minimum contract period, stated for the service subscribed to by the user.
6. SITE INFORMATION
To the fullest extent permitted at law, V-Empower is providing this site: www.v-empower.net and its contents on an "as is" basis and makes no representations or warranties of any kind with respect to this site or its contents. V-Empower disclaims all such representations and warranties, including for example warranties of merchantability and fitness for a particular purpose. In addition, V-Empower does not represent or warrant that the information accessible via this site is accurate, complete or current.
7. MODIFICATION OF TERMS
V-Empower reserves the right to modify these terms at any time without prior notice. Any modification of these terms will be deemed to be effective from the date and time of posting on the V-Empower site. These terms and conditions will apply to your order once you have received your confirmation email. They will supercede any other terms and conditions in whatever form given. Please print and retain a copy of the terms and conditions once you have received your confirmation email.
8. NO WARRANTY
The Customer agrees to use all V-Empower Services and facilities, and any information obtained through or from V-Empower, at Customer's own risk. Customer acknowledges and understands that neither V-Empower, nor any of its employees, representatives, agents or the like, warrant that the Services offered or provided hereunder will not be interrupted or be error free, nor do they make any warranty or representation as to the results that may be obtained from the use of the Service or as to the accuracy, reliability or content of any information service or merchandise contained in or provided through the Service, unless otherwise expressly stated in this Agreement. V-Empower specifically disclaims all warranties of any kind, including, without limitation, the warranty of merchantability and fitness for a particular purpose, whether expressed or implied, for the Service it is offering or providing hereunder.
9. LIMITATION OF LIABILITY
Under no circumstances, including negligence, shall V-Empower, its officers, agents or anyone else involved in creating, producing or distributing the Service hereunder be liable to the Customer or any third party, for any claims, causes of action or direct, indirect, incidental, special, or consequential, trebled, or punitive damages, that result or have alleged to have resulted from the use of or inability to use the Service; or that results from mistakes, omissions, interruptions, deletion of files, loss of data, errors, defects, delays in operations, or transmission or any failure of performance, whether or not limited to acts of God, communications failure, theft, destruction or unauthorized access to V-Empower's' records, programs or services. V-Empower further shall have no responsibility whatsoever to the Customer or any third party for the accuracy or quality of information obtained through or in connection with its Services provided hereunder. Notwithstanding the above, Customer's exclusive remedies for all damages, losses, costs or causes of actions from any and all claims, whether in contract, quasi-contract, statutory, tort including negligence, or otherwise, shall not exceed the amount which the Customer paid during the month immediately preceding the claim or the term of this Agreement, whichever is less.
The V-Empower telephony service is not intended as a substitute of the PSTN telephony service. V-Empower registered users must ensure a PSTN telephony line is available at the location from which they use the service.
10. INDEMNIFICATION
The Customer shall defend, indemnify, save and hold V-Empower harmless from any and all damages, demands, liabilities, losses, costs and claims, including, without limitation, reasonable attorneys' fees, compensatory damages, punitive damages, trebled damages, and statutory damages (hereinafter "Liabilities") asserted against V-Empower, its agents, its Customers, servants, officers and employees, that may arise or result from any service provided or performed or agreed to be performed by the Customer, its agents, employees or assigns or any product distributed, offered or sold by the Customer, its agents, employees or assigns.
11. CALL RECORDING
Please note that calls to V-Empower may be recorded to help us in dispute resolution and for training purposes.
12. IMPORTANT INFORMATION
THE CUSTOMER ACKNOWLEDGES THAT THIS IS A VOICE OVER DATA NETWORK SERVICE, AND AS SUCH, IT IS DEPENDENT ON THE CUSTOMER'S CONNECTION TO THE DATA NETWORK AND THE DATA NETWORK ITSELF. THE CUSTOMER'S SERVICE MAY THEREFORE CEASE TO FUNCTION IF THERE IS A POWER FAILURE OR A FAILURE IN THE UNDERLYING DATA NETWORK.
THE CUSTOMER UNDERSTANDS AND ACKNOWLEDGES THAT THIS SERVICE ALLOWS CALLS TO THE EMERGENCY SERVICES NUMBERS 999 AND 112 AND THAT CALLS TO THESE SERVICES MAY FAIL IF THERE IS A POWER CUT OR IF THE CUSTOMER'S BROADBAND CONNECTION FAILS.
THE CUSTOMER UNDERSTANDS AND ACKNOWLEDGES THAT THE ADDRESS PROVIDED BY THE CUSTOMER WILL BE PASSED TO THE EMERGENCY SERVICES AND WILL BE USED IN LOCATION FINDING DURING A 999 CALL. THE CUSTOMER UNDERSTANDS AND ACKNOWLEDGES THAT THE ADDRESS PROVIDED IS THE LOCATION THAT THE SERVICE WILL BE USED AND THAT IT IS THE CUSTOMER'S RESPONSIBILITY TO NOTIFY V-EMPOWER OF ANY CHANGES TO THIS INFORMATION.
ACCESS TO V-EMPOWER.NET SIP SERVICE IS BEING PROVIDED ON A NON-EXCLUSIVE BASIS. USER ACKNOWLEDGES AND UNDERSTANDS THAT V-EMPOWER.NET SIP SITE IS IN A DEVELOPMENTAL STAGE AND THAT V-EMPOWER.NET MAKES NO GUARANTEES REGARDING THE AVAILABILITY OR FUNCTIONALITY THEREOF. USER MAY NOT SUBLICENSE ITS ACCESS RIGHTS TO THE SIP SERVER TO ANY THIRD PARTY.
YOU ACCEPT E-MAIL AS A VALID MEANS OF COMMUNICATION OF ANY AGREEMENT BETWEEN YOU AND V-EMPOWER. YOU MUST CHECK THAT THE DETAILS OF YOUR CONFIRMATION EMAIL ARE CORRECT AS SOON AS POSSIBLE AND YOU SHOULD PRINT OUT AND KEEP A COPY FOR YOUR RECORDS. THIS CONFIRMATION E-MAIL AMOUNTS TO AN ACCEPTANCE BY V-EMPOWER (OR 3RD PARTY SUPPLIER THAT IS ENGAGED ON YOUR BEHALF BY V-EMPOWER) OF YOUR OFFER TO BUY GOODS FROM V-EMPOWER AND THIS ACCEPTANCE IS EFFECTIVE REGARDLESS OF WHETHER OR NOT YOU RECEIVE THE E-MAIL.
V-EMPOWER SERVICES ARE FREE TO BE WITHDRAWN FROM A PROSPECTIVE CONTRACT AT ANY TIME PRIOR TO ACCEPTANCE. THIS ALSO APPLIES IN THE CASE OF ANY ERROR OR INACCURACY IN RESPECT OF THE GOODS, ANY DESCRIPTION APPLIED TO THE GOODS, THE AVAILABILITY OF THE GOODS OR THE ORDER ITSELF.
